Terms and conditions of sale
These terms and conditions of sale ("Terms") govern the contractual relationship between BFC GROUP, publisher of the Micro Drama brand ("the Provider"), and any professional client ("the Client") wishing to use the content-production services offered via microdrama.studio. These Terms apply to business-to-business (B2B) sales of services.
1. Provider identity

2. Purpose and scope
These Terms apply to any service for the production of vertical branded mini-series and AI-assisted audiovisual content carried out by the Provider for the Client. Any order implies unreserved acceptance of these Terms, which prevail over any Client document unless expressly agreed otherwise in writing.
3. Quotes and orders
Each service is subject to a personalised quote specifying the deliverables, schedule and price. The order becomes firm upon signature of the quote (or written acceptance, including electronically) and, where applicable, payment of the agreed deposit.
4. Prices and payment
Prices are stated in euros excluding tax (VAT at the applicable rate added where relevant), and specified in the quote.
- Deposit on order: 50% of the total amount, payable on signature of the quote.
- Balance: the remaining 50% is due on delivery of the deliverables.
- Accepted payment methods: bank transfer.
In accordance with Articles L.441-10 and D.441-5 of the French Commercial Code, any late payment automatically triggers late-payment penalties at a rate of three times the statutory interest rate plus a fixed recovery-cost indemnity of €40.
5. Performance and deliverables
The Provider undertakes to perform the service in accordance with the quote and agreed timelines. Timelines are indicative; reasonable delay cannot give rise to cancellation or compensation. The Client undertakes to provide, in good time, all elements (briefs, brand content, approvals) necessary for proper performance.
6. Use of artificial intelligence
The Client is informed that content is produced wholly or partly using artificial-intelligence tools. The Provider uses reasonable means to deliver content compliant with the brief, without guaranteeing a result identical to traditional production. The Client remains responsible for final validation of content before any public release.
7. Intellectual property and assignment of rights
Unless otherwise stated in the quote, the exploitation rights to the final deliverables are assigned to the Client after full payment of the price, for the use, territories and duration specified in the quote. The Provider retains ownership of its methods, know-how and pre-existing elements. The Provider reserves the right to reference the work and use the deliverables for portfolio and demonstration purposes, unless the Client objects in writing.
8. Right of withdrawal
As these Terms apply to relationships between professionals, the right of withdrawal provided by the French Consumer Code does not apply, subject to provisions applicable to professionals employing five or fewer staff and contracting outside their main field of activity.
9. Liability
The Provider's liability is limited to direct and proven damage and shall not exceed the total amount of the service concerned. The Provider shall not be liable for indirect damage (loss of operations, revenue or image). The Provider is not responsible for the Client's use of deliverables after delivery.
10. Confidentiality
Each party undertakes to preserve the confidentiality of information exchanged in connection with the service.
11. Force majeure
Neither party shall be liable for a failure resulting from force majeure within the meaning of Article 1218 of the French Civil Code.
12. Personal data
The processing of personal data is described in the Privacy Policy.
13. Governing law and disputes
These Terms are governed by French law. Failing amicable resolution, any dispute falls under the exclusive jurisdiction of the courts of the Provider's registered office, subject to applicable mandatory jurisdiction rules.
